Article 1 – Scope of Application
These General Terms and Conditions of Sale (GTCS) apply to all sales of Products made by Sabaka Papeterie to professional buyers (retail stores, resellers, companies) acting within the scope of their business activities.
Article 2 – Orders and Quotations
For professional customers, Orders are placed on the basis of a quotation. Any order becomes final and binding upon signature of the quotation or online confirmation. No statutory right of withdrawal applies between professionals, except for the very limited exceptions provided by the French Consumer Code.
Article 3 – Prices, Payment Terms and VAT Number
Prices are stated exclusive of VAT in the quotation. The applicable VAT will be added at the time of invoicing. For professional customers established within the European Union (excluding France), a valid intra-Community VAT number must be provided in order to benefit from VAT-exempt invoicing where applicable. Payment shall be made by bank transfer or by any other payment method agreed upon in the quotation. Unless otherwise agreed, invoices are payable immediately or within a maximum period of thirty (30) days end of month. Any late payment shall automatically give rise, without prior notice, to late payment interest at a rate equal to three (3) times the applicable French statutory interest rate, together with a fixed compensation of forty euros (€40) for recovery costs.
Article 4 – Retention of Title
The Seller shall retain exclusive ownership of the Products until full payment of the purchase price, including principal and any ancillary charges.
Article 5 – Delivery and Transfer of Risk
Delivery times applicable to professional customers are provided for information purposes only. The risk of loss or damage to the products shall pass to the Customer upon delivery of the goods to the carrier.
The professional customer must inspect the Products upon receipt and notify both the carrier and Sabaka Papeterie of any reservations or claims within three (3) business days by registered mail or email.
Article 6 – Liability and Jurisdiction
Sabaka Papeterie's liability is strictly limited to the amount of the relevant Order.
Any dispute relating to the interpretation or performance of these General Terms and Conditions shall fall within the exclusive jurisdiction of the Commercial Court having jurisdiction over the registered office of the Seller.
